By accessing the Website, submitting information, placing an Order, making payment, or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
By accessing or using the Website or purchasing Services from Motus DOT Compliance ("Motus," "Company," "we," "us," or "our"), you agree to these Terms, our Privacy Policy, our Refund & Cancellation Policy, and all other policies incorporated into these Terms.
If you do not agree, you should not access the Website or purchase our Services.
We may modify these Terms from time to time. Continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.
The Website and Services are intended for persons eighteen (18) years of age or older.
By using our Website or purchasing Services, you represent that you are legally authorized to act for yourself, the motor carrier, business, registrant, applicant, or other entity for which Services are requested.
You are responsible for ensuring that all information submitted to Motus is complete, current, and accurate.
If you place an Order on behalf of a business or another person, you represent that you have authority to authorize Motus to perform the requested Services on that party's behalf.
Motus reserves the right to modify, suspend, restrict, or discontinue any part of the Website or Services at any time, subject to applicable law.
We may refuse or discontinue an Order when necessary because of incomplete information, inability to verify information, governmental requirements, suspected fraud, technical limitations, regulatory restrictions, or other circumstances affecting our ability to perform the requested Service.
These Terms constitute an agreement between Motus and the Customer, whether the Customer is an individual, motor carrier, business, broker, owner, officer, authorized representative, or other commercial entity.
Motus provides private third-party registration, filing, processing, administrative, and compliance assistance, which may include:
Services may consist of document review, data verification, preparation, account creation, account assistance, filing preparation, administrative processing, submission, follow-up, customer support, or combinations of these activities.
Orders may be placed through the Website, telephone, electronic communication, online forms, payment links, or other authorized ordering methods.
The Customer is responsible for providing accurate and complete information.
Motus relies upon information supplied by the Customer, information available through governmental databases, and information obtained from authorized third-party systems. Motus is not responsible for delays, rejections, inaccuracies, or damages caused by incorrect, incomplete, outdated, or misleading information supplied by the Customer or contained within external systems.
By placing an Order, the Customer expressly authorizes Motus and its employees, contractors, processors, agents, and authorized service providers to perform administrative actions reasonably necessary to complete the purchased Service.
This authorization may include reviewing records; preparing forms; entering information; creating, accessing, assisting with, or maintaining accounts; generating credentials when authorized; preparing submissions; communicating with government agencies; interacting with third-party systems; and electronically transmitting information necessary to complete the Service.
The Customer acknowledges that completion of an Order may involve work performed by multiple employees, departments, contractors, or systems.
Work on every Order is deemed to commence upon receipt of payment.
Immediately after payment is received, Motus may allocate personnel, reserve processing resources, review carrier or business records, retrieve publicly available information, verify submitted information, prepare internal records, create files, begin document preparation, initiate account-related work, communicate with third parties, or undertake other administrative activities connected with the purchased Service.
The Customer understands that multiple individuals or systems may begin performing different components of an Order shortly after payment.
The fact that a final filing has not yet been submitted, accepted, posted, or completed by a government agency does not mean that Motus has not commenced or performed Services.
Where additional information is required from the Customer, work already completed before requesting such information remains performed work.
Motus will use commercially reasonable efforts to process Orders promptly. Unless otherwise expressly stated, processing times are estimates and are not guarantees.
Government processing times, website outages, identity-verification requirements, customer delays, third-party systems, federal or state agency procedures, holidays, weekends, and circumstances outside Motus's reasonable control may affect completion time.
Express or priority processing, when purchased, gives an Order priority within Motus's internal workflow but does not guarantee the processing speed of any governmental agency.
An Order may be considered fulfilled when Motus has substantially performed the Service purchased by the Customer.
Depending upon the Service, fulfillment may include preparation of requested documents, completion of administrative processing, submission of a filing, creation or configuration of an account, delivery of documents or information, completion of a requested compliance task, or another material performance associated with the purchased Service.
Government approval, issuance, activation, database publication, or processing is not necessarily required for Motus's portion of the Service to be considered completed where Motus has performed and submitted the work purchased.
Motus may send an email, electronic notice, receipt, status update, or other communication confirming completion or fulfillment.
Such communication constitutes evidence that Motus considers its purchased Service fulfilled.
Prices are determined by the Service selected at the time an Order is placed.
Prices may change without prior notice. Changes will not ordinarily affect an Order already paid for unless additional Services are subsequently requested.
Government filing fees, registration fees, taxes, third-party charges, expedited charges, or other costs may be separate from Motus's service fee when disclosed during the transaction.
The Customer agrees to pay all charges associated with the Services ordered.
The Customer must provide accurate billing information, including the cardholder's legal name, billing address, telephone number, email address, and valid payment information.
By providing a payment method, the Customer represents that the Customer or authorized payer has authority to use that payment method and authorizes Motus and its payment processor to charge the amount displayed or otherwise agreed upon.
Applicable taxes, governmental fees, processing costs, or other disclosed charges may be added to an Order.
Customers are encouraged and agree, to the extent permitted by applicable law and applicable payment-network rules, to contact Motus regarding any billing, service, cancellation, or refund concern before initiating a payment dispute or chargeback.
Motus maintains records relating to Orders, authorization, customer communications, Services performed, documents prepared, electronic activity, completion notices, and other transaction information and may provide such records to banks, payment processors, card networks, governmental agencies, arbitrators, courts, or other parties as reasonably necessary to respond to a dispute.
Initiating a payment dispute does not itself cancel an Order or undo Services already performed.
Nothing in this provision eliminates rights that cannot lawfully be waived.
If an amount properly owed to Motus becomes delinquent, Motus may pursue collection to the extent permitted by law.
Where legally permitted, overdue balances may accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
The Customer may also be responsible for reasonable collection expenses, court costs, attorneys' fees, or other costs where permitted by applicable law or agreement.
Refunds and cancellations are governed by our separate Refund & Cancellation Policy, which is incorporated into these Terms.
Because work is deemed commenced upon payment, Customers should review the Refund & Cancellation Policy before submitting an Order.
To the extent permitted by applicable law, Motus may monitor or record communications involving Customers, service providers, employees, and representatives for training, quality assurance, security, documentation, compliance, fraud prevention, and service purposes.
Where legally required, appropriate notice or consent will be obtained.
THE WEBSITE, INFORMATION, MATERIALS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
MOTUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, OR UNINTERRUPTED AVAILABILITY.
MOTUS DOES NOT CONTROL FMCSA, USDOT, STATE AGENCIES, LOGIN.GOV, MOTUS (THE FMCSA SYSTEM), GOVERNMENT DATABASES, OR OTHER THIRD-PARTY SYSTEMS.
WE DO NOT WARRANT THAT GOVERNMENT INFORMATION WILL ALWAYS BE COMPLETE, CURRENT, OR ERROR-FREE OR THAT THIRD-PARTY SYSTEMS WILL REMAIN AVAILABLE.
MOTUS DOES NOT GUARANTEE GOVERNMENT APPROVAL, ACCEPTANCE, ACTIVATION, PROCESSING TIMES, AUDIT RESULTS, OPERATING AUTHORITY, REGISTRATION STATUS, OR ANY PARTICULAR GOVERNMENTAL OUTCOME.
Customers remain responsible for understanding and satisfying regulatory deadlines applicable to their businesses.
Although Motus provides filing and compliance assistance, the Customer remains responsible for timely providing information, responding to requests, maintaining required records, monitoring regulatory obligations, and verifying the continuing compliance of the Customer's operation.
Motus will not be responsible for a delay or failure caused by missing information, incorrect information, customer inaction, government processing, third-party systems, outages, identity-verification requirements, or circumstances outside Motus's reasonable control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTUS AND ITS OWNERS, OFFICERS, DIRECTORS, AFFILIATES, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR SIMILAR DAMAGES ARISING OUT OF THE WEBSITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTUS'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MOTUS FOR THE SERVICE GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain limitations of liability. Where such restrictions apply, these limitations shall apply only to the maximum extent permitted by law.
These Terms, our Refund & Cancellation Policy, Privacy Policy, applicable checkout disclosures, Order information, and other agreements expressly incorporated by reference constitute the entire agreement between Motus and the Customer concerning the applicable Services.
If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.
Failure by Motus to enforce a provision of these Terms shall not constitute a waiver of that provision or any other right.
Before commencing arbitration or litigation, the parties agree to make reasonable efforts to resolve disputes informally.
Except for claims that cannot legally be subjected to arbitration, disputes arising from or relating to the Website, Services, Orders, payments, or these Terms shall be resolved by confidential binding arbitration administered by the American Arbitration Association under its applicable rules.
Arbitration shall take place in California or another location mutually agreed upon by the parties, subject to applicable law.
The arbitrator shall have authority to determine issues properly submitted to arbitration and may award remedies permitted by applicable law.
THE CUSTOMER AND MOTUS UNDERSTAND THAT ARBITRATION GENERALLY MEANS THAT DISPUTES ARE DECIDED BY AN ARBITRATOR RATHER THAN BY A JUDGE OR JURY.
Where required or provided by applicable law, a Customer may opt out of the arbitration provision by sending written notice to Motus within thirty (30) days after first accepting these Terms.
The notice must identify the Customer and clearly state that the Customer is opting out of arbitration.
Opting out of arbitration does not affect the remaining provisions of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.
Neither Motus nor the Customer shall seek to have a dispute heard as a class action, collective action, private attorney general action, or other representative proceeding unless applicable law provides that the right cannot be waived.
No arbitration may be consolidated with another proceeding without the consent of the parties or as otherwise required by law.
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law or another applicable law controls.
To the maximum extent permitted by law, the Customer agrees to indemnify, defend, and hold harmless Motus and its owners, affiliates, officers, employees, agents, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses resulting from:
The Website, its design, content, graphics, text, logos, documents, software, and other materials are owned by Motus or its licensors unless otherwise stated.
Content may not be reproduced, distributed, copied, republished, or commercially exploited without authorization.

Motus may provide notices to Customers electronically using the email address, telephone number, account, or other contact information supplied with an Order.
Customers may not assign these Terms or transfer rights under an Order without Motus's written consent.
Motus may assign its rights or obligations in connection with a merger, acquisition, sale, restructuring, transfer of business operations, or similar transaction.
Section headings are provided for convenience and do not alter the interpretation of these Terms.
Nothing in these Terms creates an employment, partnership, joint venture, fiduciary, or governmental relationship between Motus and the Customer.
Motus may cooperate with lawful governmental, regulatory, court, law-enforcement, payment-processing, or financial-institution requests concerning use of the Website or Services.
If a provision of these Terms is unenforceable, it shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, and the remaining provisions shall continue in effect.
Motus DOT Compliance is a private third-party service provider offering registration, filing, administrative, and compliance assistance for a fee.
Motus DOT Compliance is not the United States Department of Transportation, Federal Motor Carrier Safety Administration, or any other federal, state, or local government agency.
Government forms and certain governmental filing services may be available directly from government agencies without Motus's service fee.
By purchasing Services from Motus, the Customer is choosing to hire a private service provider to assist with the applicable process.
